We are pleased that you have decided to retain our Firm for the matter described below. Our Fixed-Fee Price includes our attorneys’ time, research costs, and drafting of the requested legal document.
Below is a breakdown of the total fees:
It is the Firm’s policy to collect payment first before beginning any client work. If additional assistance is needed for any other matters, it is highly recommended that a retainer is deposited with the Firm’s Trust Account. My Firm's engagement will begin upon execution of this Engagement Letter and payment of the corresponding invoice. Although we cannot guarantee the success of any given venture, we will make every effort to serve you efficiently and in a cost-effective and professional manner.
Billing and Payment
The bills for our fees for fixed-fee projects are normally sent and due upon receipt of the invoice. If you have any special requests regarding the format of our bills, please let us know.
We will try to accommodate you. We may require you to deposit additional funds based on the anticipated cost of future fees and expenses which will be addressed before any invoice is sent. Failure to advance such funds on a timely basis shall absolve us of any responsibility for advancing any fees on your behalf. All deposited retainers within our Firm’s trust accounts are fully refundable upon request.
Prompt payment is necessary for maintaining a satisfactory account. If you have an open account (Non-Fixed Fee) with the firm and bills are not paid when due, we reserve the right to discontinue all services, to charge interest on unpaid amounts at a rate of 1.5 percent per month, to exercise a lien against any property involved in the engagement and to withdraw from representing you as a client. However, we will not "Withdraw Representation” without providing a notice of our intention, either verbally or by mailing a certified letter to your last known address.
We will make every effort to deliver value in our services. Please feel free to discuss any questions you may have regarding our work and our bills. By signing this Engagement Letter, you (and we) agree that any disputes between us over the amount of any of our fees (and we hope there are none) will be settled by binding arbitration under the rules of the American Arbitration Association for the locale of our office that services you. We agree to be bound by any decision the arbitration panel may make, and will make whatever billing adjustments they may deem appropriate. In the event you do not wish to resolve billing disputes in this manner, please cross out this paragraph and initial and date the right margin before signing and returning this letter to us.
I agree to preserve your confidences and secrets as my client in accordance with U.S. Patent and Trademark Office rules as set out in the Code of Federal Regulations Section 37 CFR 10.56. 37 CFR 10.57 and 37 CFR 1.56.
We encourage you to discuss any questions you may have concerning intellectual property services or our fees as soon as they arise.
